Ok, was able to put a screw driver on the "brand new" mind you upper solenoid and it started running the outdrive up....
Uh I'm guessing I have a faulty brand new solenoid???
Or should I still consider something else?

try a wire between the battery + and the "pick" terminal of the " up" solenoid. If it works you have a wiring/switch problem, if not try again after adding good ground wire from battery - to the solenoid ground. Now if it works you missed a ground on the "up" solenoid. If it still fails you for bad solenoid. Good luck.
