I would suggest using www.carbonite.com for your backups. I used to do the "inhouse" back ups and if anything ever goes really wrong like a fire or anything like that you are screwed. Also depending on what software you are running (Windows 2000, xp....) ALL deleted information can be gotten back by anyone with any competence in that sort of thing. If you need any info on that let me know.

This will not happen again. It looks to me that a bad seed can spread without water. Premiere Performance is in much better shape today. Frank just hired to very experienced Merc Techs to help restore all the behind work that was left behind.

This letter to Formula last week may help some understand a little better.

Also go to www.sunbiz.org and look up Premier Performance Marine. Look at the managing members in the setup documents of this company in Oct then look how one member was removed without his knowledge in an amended document filed Jan 24th 2008. Would this not raise a red flag for some of after you were allowed to continue to operate a company at a profit in its first month with no partnership agreement in place.

I also interviewed one of the "two very experienced Merc techs just hired" and the one I interviewed appears to be a very good mechanic but not a very experienced Mercruiser tech. When interviewed he had not completed any of the required Mercury e-skills to become a certified Merc tech.




Good morning Mike, Ryan,

As you are probably aware I no longer have any connection with Premier Performance Marine. I'm not exactly sure what you've been told regarding this split up but judging by the calls I have been recieving from a few very concerned customers and vendors the comments made to them by Frank Areces have not been very positive for me.

Let me just start with my heart, soul, sweat, many, many man hours and almost all the finances I could get my hands on went into the start up of Premier Performance. As you know, from the begining, when I was with Passport I did everything I possibly could to turn the service dept around to be a positve experience for Formula customers, even though the majority of the time I had my hands tied by my managers. Still, I was able to build great relationships with Formula customers and most importantly thier trust. When the opportunity arose for me to take over the service dept. as a sub to Passport many months ago I put a plan in place. After reviewing what it would take to get involved with a business of this magnitude I decided it was not one I would be able to take on alone financially. This is where I brought Frank into the picture.

I had known Frank through business relationships we had in the past. Frank became a customer of mine through my business, Fort Lauderdale Custom Marine Rigging, a rigging service that offers rigging services for high end poker run boat owners to date. Frank had heard about the quality of my services and hired me to rig a new Cigarette he had just purchaced and thus the beginning of our relationship. He used my services on many occasions through the years and I, as well, retained his services for legal matters. Through these relationships we became very good friends.

When the option to take over the Service Dept from Passport arose I contacted Frank to see if he had any interest to get involved in the business and he was very excited about the idea. I thought this would be a great partnership as operations was my specialty and he could handle all the legal involved. When this option fizzled away we left the idea on the back burner.

When the oportunity arose again direct with Formula, as you know, I was immediately in contact with you Mike, and Chuck. Again I spoke to Frank to see if he still wanted an involvement and he did. From there I prepared another business plan and again, as you know, had Frank get involved in meetings with Formula. I also hammered down Hi Lift for operating space and introduced Frank to the location of River Bend Marina.

As Premier Performance Marine was formed I left all of the legal aspects of the business regarding leases and contracts for Frank to handle and I dealt with the Passport customers to assure them that the transition from Passport to Premier would be seamless and a great experience for them. All I spoke to were thrilled with the change and looked forward to dealing with me on thier service needs.

From day one I spent night and day at Premier handling operations while Frank tended to his law business. Where I did go wrong was to leave the contratual agreements between Frank and myself for Frank to draw up. And the bigger mistake was for me to not have these agreements in place before we started operating. Not having these contracts in place has led us to where we are today. As of yesterday I still had no partnership agreement with Frank inside the Premier company even though I had made many requests over the past month to have this ironed out, being told that the documents were being drawn up. He had set the company up as 100% his ownership. Two days ago I decided that I could no longer operate and continue to apply effort, time and money to this business having no protection or legal affiliation with Premier. I made another request two evenings ago by way of email to Frank to let's get this sorted out. The tone in his reply email led me to have larger concerns than I had had in the few weeks past. Yesterday I had to take action to grab Frank's attention as I was past the point of going back and forth with this. I was unable to borrow for the company against the company as my name appeared nowhere on any document related to Premier Performance Marine and this was being held against me as far as percentage ownership.

My actions yesterday to stop working and remove some of my personal belongings to include office PC's was an act of desperation on my part as I had found yesterday morning that other documents to include applications to Mercury for dealership also reflected Frank as 100% owner of Premier. Frank's response to my actions yesterday only confirmed my concerns because after several attempts to make contact with him yesterday proved fruitless and once contact was made it was made clear to me that he was 100% Premier and I had nothing to do with Premier from that point on. Also my request for reimburment of my contributions as well as salary were met with a negative response.

As it stands this morning I am deciding on whether or not to take legal action against Frank and Premier because it is quite clear that we will not be coming to an agreement regarding the reimbursment of my contributions outside of that. Obviously this is not a clear decision right now because of the costs involved going againt Frank who is a contract lawyer. I may need to put this down as just a bad decision on my part in choice of partners and not having my ducks in a row going into this.

With this said, I will be contacting Formula owners to make them aware that I am still here and willing to handle all of thier retail service needs in a mobile capacity for at least the next few weeks through Fort Lauderdale Custom. I am not sure if you are aware that I was actually the one doing the majority of the physical mechanical warranty work at Premier as there was only one more mid end tech employed there, who was not very familiar with Formula systems, who was carrying out the general retail engine and generator services.

Frank had vested the 100% funds to start Premiere Performance. Frank did you a big favor not once but many times. I know all the behind scene stories that Frank helped you with. You still owe him, he owes you nothing. A real man does not do what you did, I`m surprised off your actions after we have had numerous conversations in how stuff like what you did is handled in your country.

Should I say how you didn't have a dime or credit to invest and yet how I offered you an equity position? Should I say how your credit was chit because of the judgments against you which I was assisting you in resolving, and the criminal prosecution you had pending at the time for grand theft, which I also got a lawyer friend of mine to assist you in dismissing? Should I say how you asked me to take you off the corporate documents because you were running from the judgment in Bermuda and in Miami? Should I say how you lied to me about having money to invest and you kept promising you were getting a loan for your "contribution"? Should I say how you were going to hide assets from your judgment creditors? Should I say why no one but me could put their name on the guarantees and how I was the only one that could give his social security number to establish credit at all the vendors? Should I say how from day one you started doing work on the side on company time and received thousands of dollars from Premier Customers who you did not give receipts to after receiving payments in cash? Should I say how no one at the company could reach you for hours on end day after day when I called asking for you? Should I say how you were obssessed with getting check writing authority on the bank account when there was no need for writing checks. Should I say how I repeatedly asked you to interview techs so we can get the work done efficiently and you blew me off? Should I say how I repeatedly asked you to send me the pictures of the shop you took so I could forward them to Mercury with our application and again you blew me off? Should I say how you set a meeting with me on the morning of last Thursday to discuss "partnership issues", then to meet with Hi-Lift and Passport Marine and yet in the wee hours of the morning you came into the office and stole our customer list, deleted our company files, sabotaged our computer in a feeble attempt to coerce me into re-negotiating with you. Should I say how you didn't show up for our meeting or the meeting we had set with Hi-Lift and Passport. Should I say how you didn't even have the courage to talk to me, man to man, before doing such an underhanded act? Should I say how you tried to steal customers from the company by contacting them via e-mail and copying them with the sorry memo you sent to Formula? Yeah, you didn't think I'd find out? Well, many of those customers have called us to tell us what you did, and then ask when they could bring their boats to Premier. Should I say how Formula management that you sent this memo to told me they had heard about your shady background. Should I say how you are misrepresenting things about the company to Formula and the customers? Should I say how those same people at Formula you sent this memo to have actually told customers that they are to deal only with Premier as its certified service center? Yeah, you should check on that. Should I say how customers who's boats you secretly took to other marinas to do work on have actually contacted us recently surprised at what you did? Should I say here how you started calling me Thursday afternoon surprised that I hadn't called you and denying you did anything wrong. Should I say how I had to tell you not to call me anymore or Adrian since you were driving him nuts too with your repeated calls? Should I say here everything Adrian told you about how your excuses for what you did made no sense? Really Chris, blaming it on your infant daughter, come on. Should I keep going Chris, because I was going to keep this out of this forum since you already have enough of a bad reputation here. My friend, you did me a favor by taking those steps. I was the only one who stood behind you, like a fool, when Tres and Martin Offshore accused you of stealing, when Tommy of Chief Engines accused you of stealing, when Larry at Extreme accused you of stealing, when the Bermuda bank accused you of not paying your loans and credit cards. Yeah, I was the only damn fool you had, bro, and this is your repayment. Go ahead and sue, do me the favor, then you will see what real litigation is about. You won't have any other fool represent you for free, or in exchange for work you never did.

You did this. I didn't go crying to Formula or our customers behind your back. But my friend, the truth always rises to the top. You obviously will never know what it is to deal with honest people.
