Thanks a lot for all the words of wisdom.
I droped the deal today. Kind of sad I don't have a boat for the summer, but beats the hell out of having a boat in the shop all summer. Which I had more money. It would definately be worth fixing up (as all pantera are), I just didn't have the cheese to do it. Pretty sure that $40k would take it, but you need another $20K to make it right depending on how picky you are.
So the hunt begins again - Looking for a single 28 pantera or twin with small blocks.
For anybody wanting to buy this boat - well looks like all the inspection has been done for you

Yah I had some luck.......will wait and see.
This pantera has had some work done since I looked at it. I believe they put in new headliner in the cabin. They also "suposedly" went through the engines. Put new heads and manifolds on the port side (starboard side already had new heads and manifolds). They probobly had the alternators fixed. The engines actually ran pretty good when we ran it. Its only got 250hrs on both engines and those 7.4mpi's are supposed to go 1500hrs.
I believe that the cockpit floor behind the driver seat is still soft and the gimbal rings and steering pins both need to be replaced. Some of the clear coat is also coming off from sitting outside in the TX heat for 3-4 years. Still a kick azz boat.
