Closed cooling on the 496HO.
Integrated engine oil drain tube already installed on 496HO.
Brass sea-water pump assembly on 496HO, (plastic on 502).
SmartCraft guage/engine management capability on 496HO.
Super sexy plastic engine cover on 496HO. (Replace it with a billet one.)
Can pull couple extra couple ponies out of 496HO by removing condensation (restriction) plates out of exhaust manifolds.

I think if you plan on staying stock, the 496 is better. If you want to tinker, 502's are better.
